Here are a few deals we have worked on in the last 12 months...
Acquisition by The Mirus Trading Group
Advising Milton Keynes-based IT support services provider, The Mirus Trading Group on its acquisition of Milton Keynes-based 2R Systems and Leighton Buzzard-based R&R Copying Systems. 2R provides professional printer and photocopier solutions and R&R provides photocopying and office equipment supply and services. We are proud to have assisted Mirus in strengthening their existing successful business to enhance and broaden its services to its customers.
Sale of Verilocation
Advising the shareholders of Northampton-based fleet management technology company, VeriLocation, on its sale to Isotrak Holdings, a Milton Keynes-based vehicle tracking and management software provider. VeriLocation provides a unique offering in terms of integrated haulage technology products; the use of which is becoming increasingly more popular in the logistics sector. We have worked with VeriLocation since 2003 and are delighted to have supported them through this sale.
Sale of P S Financials (Holdings)
Advising the shareholders of P S Financials (Holdings) on its sale to IRIS, a HgCapital-backed company. From population of the data room the deal was completed in 2 weeks. PS Financials provides accounting software to over 2,900 organisations in more than 58 countries. The company’s offering covers accounting, budgeting and reporting software to a wide range of sectors including retail, finance, insurance and education. We have acted for PS Financials since 2013 when we advised the company on a corporate restructuring.
Sale of Fleet Assist
Acting for the shareholders of Fleet Assist (Fleet), on the sale of the company to Fleet Assist Investments, backed by the US investment company, Eli Global. Fleet is a Cambridgeshire-based business which specialises in supply chain management and consultancy tailored for the fleet industry. Fleet was launched in 2003 and will continue to expand with greater investment opportunities available for the business that will directly benefit its customers.
Acquisition by Steven Eagell
Acting for Steven Eagell in its acquisition of seven Toyota dealerships and two Lexus dealerships from Lancaster Motor Company, which makes the business the largest Toyota / Lexus group in Europe. EMW have worked with Steven Eagell for a number of years and have built a considerable breadth of experience, working with a number of clients in the motor industry sector.
Rockpool’s Investment in Aspley Pub Company
Advising Rockpool Investments LLP on their investment in Aspley Pub Company, a company established to acquire and operate gastropubs in the Midlands and southern England. Rockpool provide support to high quality SME management teams across the UK, investing between £3m-£10m in profitable, established private companies, providing funds for MBOs, growth and development finance.
Sale of Supreme Wheels Direct
Acting for the shareholders of Milton Keynes-based Supreme Wheels Direct in the sale of 75% of Supreme’s shares to BCA Trading. Supreme was launched in 2010 and is a specialist in alloy wheel refurbishment. This was the first business sale for the continuing shareholders and therefore they needed support, guidance and reassurance throughout the process. This transaction highlights our ability to assist our clients every step of the way throughout a business’s life cycle and has added to our expertise in the automotive industry.
IW Capital’s Investment in Intelligent Resource Systems
Acting for private equity firm IW Capital on its investment SaveMoneyCutCarbon, a Suffolk-based business which specialises in working with businesses, organisations and homes to reduce energy and water consumption and cut costs. The matter has been a testament of the expertise of the Corporate team in acting private equity firms and further demonstrates the corporate services that we can provide clients.
Sale of Intrinsys
Advising the shareholders of Milton Keynes-headquartered product lifecycle management software and services business Intrinsys on its sale to the Stockholm Stock Exchange listed group, Addnode Group AB. Intrinsys delivers projects to companies in the automotive, aerospace, formula 1, marine, oil/gas and industrial equipment sectors.
